Enlight Renewable Energy Ltd. Announces the Results of the Public Tender in Israel for the
Purchase of the Company’s Series 6 Notes and the Completion of the Offering

Enlight Renewable Energy Ltd. (NASDAQ: ENLT, TASE: ENLT) (the “Company”) announced today, further to the filing with TASE of a shelf offering report dated September 20, 2023 (the “Offering Report”) under the shelf prospectus dated September 8, 2023, that the public tender of the Company's Series 6 Notes (the “Notes”) )by way of expansion of an existing Series 6) have concluded. Based on the results of the concluded public tender, the Company is expected to issue 335,182,000 Series 6 Notes (NIS 1 par value each) in the aggregate principal amount of NIS 319,093,264 (approximately $84 million). The price that was set in the tender was NIS 0.952 per Note.

All of the Notes were ordered by Israeli institutional and classified investors as part of the institutional tender as described in the company's report dated September 20, 2023.

The Company intends to use the net proceeds from the offering for working capital purposes. Specifically, the proceeds will fund a portion of the project debt required to progress the Company’s large scale projects in the United States, until the full receipt of project finance and tax equity commitments. The Notes have a duration of 2.5 years.

Also, on September 20, 2023, "Midroog" confirmed an A2.il rating (stable) for the expansion of the Series 6 in a total amount of up to NIS 340 million.

The Notes will not be registered under the U.S. Securities Act of 1933, as amended (the “Securities Act”), and may not be offered or sold in the United States or to U.S. Persons (as defined in Regulation “S” promulgated under the Securities Act) without registration under the Securities Act or an exemption from the registration requirements of the Securities Act.

In accordance with the approval of the Israel Tax Authority, as described in the shelf offering report, the weighted discount rate, after the expansion of the series, for the entire series of the Notes (series 6), stands at 1.736%.
